These Terms of Use (“Terms”) govern your access to and use of the website www.cfvminc.com (the “Site”) operated by or on behalf of California Forestry and Vegetation Management, Inc. (“CFVM,” “we,” “us,” or “our”). These Terms constitute a legal and binding agreement between you and CFVM. By accessing our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, and that you agree to our Privacy Policy. You can access our Privacy Policy here. If you do not agree to any of these agreements, you may not access our Site.
1. Acceptable Use
The Site is intended for use by United States residents who are at least 18 years of age. We do not represent that all content, materials, and products displayed on the Site are appropriate or available for use in geographic locations outside the United States. You agree not to access the Site or any content, materials, or products displayed on the Site where prohibited by law. We are not responsible for your compliance with local laws or other applicable laws.
You hereby agree that you are solely responsible for your conduct in connection with your use of the Site and for any and all acts and omissions that occur while you use the Site. In connection with your use of the Site, you further agree not to engage in any of the following prohibited activities: (a) interfere with or inhibit the use of the Site by other users; (b) use the Site for unrelated commercial purposes for yourself and/or third parties (for example, by reselling our products and services to others without our prior written permission); (c) interfere with, disrupt or attempt to gain unauthorized access to the Site or any other computer network; (d) copy, reverse engineer, or attempt to derive the source code of any part of the Site; (e) post any comment or message on the Site or CFVM’s related social media pages that is private, libelous, harassing, abusive, obscene, vulgar, sexually explicit, or inappropriate with respect to race, gender, sexuality, ethnicity, or other intrinsic characteristic, or is unrelated to our services or is clearly false or misleading; (f) disseminate or transmit files, graphics, software, or other material that actually or potentially infringes the copyright, trademark, patent, trade secret, or other intellectual property of any person; (g) disseminate or transmit viruses, Trojan Horses, or any other malicious code or program; or (h) use the Site in a manner or engage in any other activity that would violate any of the provisions of these Terms or any applicable laws. We may investigate any reported violation of these Terms and take any action that we deem appropriate. Such action may include, but is not limited to, issuing warnings, blocking your access to the Site, unilaterally removing posted content, and/or reporting any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties.
2. Personal Information
The Site is a service made available by CFVM. When using the Site, you may choose to provide Personally Information such as your name, email address, and telephone number. Please review our Privacy Policy regarding the Personal Information we collect, use, and share, and the terms of such collection, use, and sharing. You represent and warrant that all Personal Information you provide in connection with using a Site is complete, accurate, and non-fraudulent, and that you are authorized to provide that Personal Information to us. You acknowledge and agree that we may from time to time ask you to verify and update your Personal Information with us so that we have the most current information.
3. Proprietary Rights; Limited License
The Site is made available for your personal, non-commercial use only. You agree not to copy, duplicate, display, publicly perform, republish, transmit, distribute, modify, reverse engineer, or prepare derivative works of all or any portion of the Site for any purpose, nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.
We grant you the limited right to access and make use of the Site as a user. The Site, including, without limitation, all text, graphics, images, logos, software, trademarks, service marks and trade names incorporated in the Site (“Content”) are owned by or licensed to us, or fairly used pursuant to applicable law. CALIFORNIA FORESTRY & VEGETATION MANAGEMENTTM and related stylized designs, including our hexagonal tree logo, are registered and/or common law trademarks of CFVM.
Unless authorized in writing and in advance by us, you may not sell, reproduce, copy, distribute, modify, display, publicly perform or otherwise exploit the Content for any public or commercial purpose except as expressly permitted in order for you to access the Site as a user. No provisions of these Terms shall be construed to convey any property right in or license to the Content unless expressly provided to the contrary.
You may not use the Site to sell a product or service, or to increase traffic to your website for commercial reasons, such as reselling our services. You may not take search Content from a Site and reformat and display them, or mirror the Site’s home page or other webpages on your website.
For clarity, the foregoing permissions are limited to the Site, and no rights are granted with respect to any servers, computers, or databases associated with the Site.
4. Disclaimer and Limits on Liability
THE SITE AND THE CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL WARRANTIES THAT MAY BE IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE HEREBY EXPRESSLY DISCLAIMED TO THE EXTENT PERMITTED BY LAW. YOUR USE OF THE SITE AND THE CONTENT IS SOLELY AT YOUR OWN RISK. IN NO EVENT SHALL CFVM OR ITS SHAREHOLDERS, OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS RELATING TO THE USE OF THE PRODUCTS DISPLAYED ON THE SITE OR ANY CONSEQUENCES WHICH MAY RESULT THEREOF.
TO THE EXTENT PERMITTED BY LAW, CFVM SHALL NOT BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHERWISE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, OR YOUR USE OF THE SERVICES OFFERED THROUGH THE SITE EVEN IF THE COMPANY HAS KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES.
5. Errors, Omissions, and Inaccuracies; Inaccessibility or Inoperability
We strive to provide complete, accurate, and up-to-date information on our Site. Unfortunately, despite those efforts, human or technological errors may occur. 6. Indemnification
This section only applies to the extent permitted by applicable law. If you are prohibited by law from entering into the indemnification obligation below, then you assume, to the extent permitted by law, all liability for all claims, demands, actions, losses, liabilities, and expenses (including attorneys’ fees, costs and expert witnesses’ fees) that are the stated subject matter of the indemnification obligation below.
You agree to indemnify, defend, and hold California Forestry and Vegetation Management, Inc. and its employees, officers, shareholders, directors, agents, representatives, affiliates, service partners, licensors, successors, and assigns harmless from and against any losses, costs, liabilities, settlements, fines, payments or damages (including reasonable attorneys’ fees and costs) resulting from any claim, suit, or proceeding, threatened or otherwise, at law or in equity made or brought against us, and caused by, arising out of, resulting from, or in any way attributable to: (a) your use of the Site; (b) anything you post or submit to the Site; (c) your violation of these Terms; (d) your violation of the rights of any third parties; and/or (e) use of the Site by any other person accessing the Site using your computer or Internet access account.
7. Privacy Policy; Confidentiality
Our Privacy Policy governs our collection and use of the information you provide to us or that we obtain through your use of our Site and our respective rights relative to that information. In general, we use the information you provide us for the purpose of providing our services to you. We will not sell your Personal Information to third parties for the purpose of marketing to you. Please review our Privacy Policy before you use our Site. Your use of the Site indicates your agreement to our Privacy Policy.
As noted above, we cannot guarantee the confidentiality of information provided over the Internet such as, for example, when using the Site, or sending or receiving e-mail messages. 8. Choice of Law; Jurisdiction; Limitation of Actions
These Terms, and any disputes arising out of it, will be governed by the laws of the State of California, regardless of its conflict of law principles or those of the jurisdiction where you live or in any other jurisdiction. You and we agree to submit any disputes arising under these Terms to the exclusive jurisdiction of the Superior Court of Merced County, California, or, if federal court jurisdiction exists, the United States District Court for the Eastern District of California, Fresno Division. You and we agree to waive any jurisdictional, venue, or inconvenient forum objections to such courts (without affecting either party’s rights to remove a case to federal court if permissible), as well as (1) waive any right to a jury trial and (2) waive any right to bring a class action or private attorney general claim. Any law or regulation providing that the language of a contract shall be construed against the drafter shall not apply to these Terms. This paragraph will be interpreted as broadly as applicable law permits.
9. Integration and Conflicting Terms; Severability
These Terms and the Privacy Policy referenced herein constitute the complete and exclusive agreement between you and us with respect to use of the Site, and supersede any and all prior or contemporaneous communications, representations, statements, agreements, and understandings, whether in oral, written or electronic form, between you and us concerning the use of the Site. These Terms and the Privacy Policy shall be construed as consistent with each other whenever possible, but if such construction is unreasonable due to conflicting terms, the terms of the Privacy Policy shall control over the Terms.
Any provision of these Terms that is determined by a court of competent jurisdiction to be unenforceable in any jurisdiction shall be severable from these Terms in that jurisdiction without in any way invalidating the remaining provisions of these Terms. The unenforceability of any provision in a given jurisdiction shall not make that provision unenforceable in any other jurisdiction.
10. Changes to Terms of Use
We may modify these Terms at any time, at our sole discretion, without specific notice to you. The latest version of these Terms will be posted to the www.cfvminc.com Site, and you should review these Terms prior to using the Site. Any such changes to these Terms will become effective immediately, and your continued use of the Site following such notification will be deemed confirmation of your acceptance of such changes. You will not be eligible for any compensation because you cannot use any part of the Site or because of a failure, suspension, or withdrawal of all or part of the Site.

These Terms are personal to you. You may not assign your rights and obligations under these Terms without our prior written consent. We may assign any of our rights and delegate any of our obligations hereunder at any time, without your consent, at our sole discretion. These Terms and our Privacy Policy will inure to the benefit of our successors, assigns, and licensors.
13. Force Majeure
Neither CFVM nor its shareholders, managers, officers, directors, agents, employees, representatives, or affiliates shall be liable for performance of its obligations under these Terms if it is prevented or delayed from performing such obligations as a result of (a) any provision of any present or future law, regulation, or agency policy of any state or of the United States, (b) any act of God, war, civil unrest, or emergency condition, (c) the unavailability, failure or interruption of the Internet; or (d) any other circumstances beyond the reasonable control of CFVM and/or its shareholders, managers, officers, directors, agents, employees, representatives, or affiliates.
14. Waiver
The failure to require performance of any provision in these Terms shall not affect in any way the full right to require such performance at any time thereafter, nor shall the waiver by us of a breach of any provision hereof be taken or held to be a waiver of the provision itself or of any other provision in these Terms.
